Two entities, two missions

- to continue supporting Aegon Ltd. as anchor shareholder
- to create new EUR 500mio charitable foundation, Aegon Fonds Nederland

The Hague, May 28, 2026 - Vereniging Aegon today announces an agreement with Aegon to adopt a new structure in light of the proposed redomiciliation of Aegon to the United States. Vereniging Aegon will be separated into two independent entities. A newly established charitable foundation, Stichting Aegon Fonds Nederland, will carry forward and further develop charitable and societal activities in the Netherlands. In addition, the current association will continue to support the interests of Aegon as holder of appr. 18% common stock while the class of common B shares will convert into common stock. Establishing the new structure is subject to Aegon’s shareholders deciding to redomicile the company to the United States which approval is expected to be put to a vote at an EGM in Q4 2026. Stichting Aegon Fonds Nederland is expected to become operational in the course of 2027.

Vereniging Aegon Americas

Vereniging Aegon, to be renamed Vereniging Aegon Americas, will retain its existing stake of appr. 18% in Aegon and continue to act in the interest of Aegon and its stakeholders in a balanced manner as it executes its strategy and redomiciles to the United States.

The capital structure will be simplified with the elimination of Common Shares B and Special Cause voting by converting all outstanding Common Shares B held by Vereniging Aegon on a 1:40 basis into a single class of common stock with equal voting rights. 

Aegon Fonds Nederland

Vereniging Aegon will donate EUR 500 million as initial assets (“stamkapitaal”) to the new charitable foundation Stichting Aegon Fonds Nederland to support and further develop its charitable and societal activities in the Netherlands. It will be guided by Aegon’s purpose “Helping people live their best lives”. Vereniging Aegon’s current charitable activities, including Leyden Academy on Vitality and Aging B.V. and its support for Stichting @ease, Women Inc. and Bureau Clara Wichmann, will become part of Aegon Fonds Nederland.

By separating Vereniging Aegon’s two core objectives, both can be pursued to the fullest and independently of one another, supported by clear, separate and transparent governance frameworks and distinct purposes.

Lodewijk Hijmans van den Bergh, chairman of Vereniging Aegon commented: “Since Aegon announced its intention to relocate to the United States, Vereniging Aegon has carefully considered how it can give lasting and future-proof expression to its two objectives. The proposed new structure allows Vereniging Aegon Americas to continue to support the interests of Aegon and its stakeholders in the new United States context. In addition, I am delighted that with the introduction of Aegon Fonds Nederland, Vereniging Aegon’s current societal impact in the Netherlands will be retained and be actively expanded in support of initiatives with the purpose of “Helping people live their best lives”.”

Next steps

The proposed new structure, including the conversion of the Common Shares B, is subject to Aegon’s shareholders deciding to redomicile the company to the United States and related change to its certificate of incorporation and bye-laws which approval is expected to be voted on at an EGM in Q4 2026 as well as obtaining the necessary approvals and receiving the ANBI status for Aegon Fonds Nederland. Aegon Fonds Nederland is expected to become operational in the course of 2027. Further announcements will be made if and when appropriate in the course of 2027.
